2. Services Description

BarBak Hospitality provides restaurant depot delivery, bar supply delivery, and related hospitality logistics services to licensed businesses in the Eastern United States. Our services include but are not limited to:

• Restaurant and bar supply sourcing and delivery from Restaurant Depot and similar suppliers
• Alcohol and beverage scheduling and delivery to properly licensed establishments
• Recurring and on-demand delivery scheduling
• Account management and delivery tracking via our member portal

3. Eligibility

Our services are available to businesses and individuals who are at least 18 years of age and legally authorized to operate a food service, hospitality, or alcohol-licensed establishment. By registering for or using our services, you represent and warrant that you meet these requirements.

4. Account Registration

To access certain features of our platform, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials and not share them with others
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

5. Scheduling & Deliveries

By scheduling a delivery through our platform, you acknowledge and agree to the following:

• Cancellations: Cancellations must be made at least 24 hours in advance of the scheduled delivery window. Late cancellations may incur a cancellation fee.
• Access: You are responsible for ensuring that an authorized representative is present to receive the delivery at the scheduled time and location.
• Accuracy: You are responsible for the accuracy of your order details, including items, quantities, and delivery address.
• Compliance: For alcohol deliveries, you agree to comply with all applicable state and local licensing laws. Deliveries will only be made to properly licensed establishments.

6. Payments & Fees

All payments are processed securely through our third-party payment processor. By providing payment information, you authorize us to charge all applicable fees for services rendered. All fees are non-refundable unless otherwise stated in writing.

We reserve the right to modify our pricing at any time. Any pricing changes will be communicated in advance and will not affect already-scheduled and confirmed deliveries.

7. Prohibited Uses

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to our systems, accounts, or data
• Use our platform to transmit spam, malware, or harmful content
• Misrepresent your identity, business, or licensing status
• Interfere with the proper operation of our website or services

To the fullest extent permitted by law, BarBak Hospitality shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless BarBak Hospitality, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising out of your use of our services, violation of these Terms, or infringement of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your account and access to our services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Mecklenburg County, North Carolina.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes your acceptance of the revised Terms.
